1. Acceptance of Terms
By accessing and using Ghostlytic ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service.
Ghostlytic is currently offered as a private beta. Features, availability, and pricing may change as the Service develops, and access may be limited or by invitation.
2. Service Description
Ghostlytic provides competitive intelligence monitoring for local businesses. The Service monitors publicly available Google Maps business listings and public social media profiles of nearby businesses that you choose to track, and delivers derived metrics, insights, alerts, and reports to subscribers.
We source this data through licensed third-party data providers, including Apify, SerpAPI, and Google Places. We do not access private accounts or non-public information — only information that is otherwise publicly accessible online.
3. User Accounts
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information remains current and accurate
4. Subscription and Fees
Ghostlytic offers the following subscription plans:
- Free: $0/month
- Starter: $29/month, or $290/year
- Growth: $79/month, or $790/year
- Pro: $199/month, or $1,990/year
All prices are in Australian dollars (AUD) unless stated otherwise. By subscribing to a paid plan:
- You agree to pay all fees associated with your chosen plan
- Subscriptions automatically renew each billing period unless cancelled
- You can upgrade, downgrade, or cancel your subscription at any time through your account settings
- We do not offer a free trial. The Free plan is available at no cost, subject to its feature limits, and does not require a paid subscription
- All fees are non-refundable, except as required under the Australian Consumer Law (see Section 10)
5. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of others
- Harass, abuse, or harm other users or businesses
- Distribute malware, spam, or unsolicited communications
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use automated systems to access the Service without permission
- Resell or redistribute our data without explicit written consent
6. Data Accuracy and Limitations
While we strive for accuracy, Ghostlytic makes no warranties regarding the completeness, accuracy, or timeliness of the data provided. The Service is intended for informational purposes only. Users should:
- Verify critical information independently before making business decisions
- Understand that data sources may have inherent delays or inaccuracies
- Not rely solely on our Service for mission-critical business decisions
7. Intellectual Property
All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and data compilations, are owned by Ghostlytic and protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only.
8. Data Privacy and Security
We take data privacy seriously. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.
9. Service Modifications and Termination
We reserve the right to:
- Modify, suspend, or discontinue any aspect of the Service at any time
- Change pricing with 30 days' notice to existing subscribers
- Terminate or suspend accounts that violate these terms without prior notice
- Refuse service to anyone for any reason at our discretion
As the Service is currently offered as a private beta, we do not guarantee any specific level of availability or uptime.
10. Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You will retain access to the Service until the end of your current billing period
- We do not offer a money-back guarantee or refunds for the unused portion of a billing period
- Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded, including guarantees relating to acceptable quality and fitness for purpose. Where the Australian Consumer Law entitles you to a remedy, we will provide it
11. Limitation of Liability
To the maximum extent permitted by law, Ghostlytic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use the Service
- Unauthorized access to or alteration of your data
- Any conduct or content of third parties
- Errors, inaccuracies, or omissions in the data we provide
Our total liability to you for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under the Australian Consumer Law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Ghostlytic, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of these terms.
13. Dispute Resolution
If a dispute arises from these terms or your use of the Service, we encourage you to contact us first at legal@ghostlytic.com so we can try to resolve it informally. Nothing in these Terms limits your right to bring a claim in a court of competent jurisdiction in Australia, or any right or remedy available to you under the Australian Consumer Law.
14. Governing Law
These terms are governed by the laws of [STATE/TERRITORY], Australia. Nothing in this section excludes or limits any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
15. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified terms.
16. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
